  • Job Objective: A brief overview of the position.
    • The Assistant General Counsel serves as the lead in-house attorney over all non-litigation matters that are related to labor, employment and general human resources.  This attorney will also oversee related matters such as immigration, employee compensation/benefits and ERISA compliance.  In supporting the Human Resources Department, the attorney will provide general advice and counsel on a variety of matters from California wage and hour issues to proposed employment actions (informal counseling through termination).  The Assistant General Counsel will also remain current on federal and California laws related to labor, employment and general human resources and will educate and advise key client leaders on any changes/developments in the law that may impact the organization.  This attorney is also responsible for contractual relationships of the organization including materials management purchasing and service agreements, information technology agreements, research clinical trial agreements, affiliation agreements and various physician agreements including medical directorships, call coverage arrangements, and graduate medical education residency and faculty contracts. In addition, at the direction of the General Counsel, this position shall conduct legal research, provide legal analysis and may provide legal direction on issues impacting the organization. The position will also be responsible for reviewing policies, forms and other operational documents as needed to assess risk and insure compliance with relevant laws. The Assistant General Counsel will serve as the legal representative to various committees as assigned by the General Counsel.

    • Experience
      • Required: Five to seven years’ experience with labor/employment and benefits related matters, preferably with some experience in a corporate law department. At least two years’ experience negotiating and drafting contracts, preferably related to healthcare operations.  

      • Preferred: Experience representing health care clients.

  • Essential Responsibilities
    • Provides daily advice and counsel to the Vice President of Human Resources and his leadership team including three Relationship Managers.
    • Serves as the lead in-house attorney for all matters within the organization related to labor, employment, human resources, immigration, compensation, benefits and ERISA; including Eisenhower Medical Center, the Barbara Sinatra Children’s Center and the Annenberg Center for Health Sciences.
    • Works closely with the Director of Insurance, Litigation and Claims (Legal Counsel) and/or the General Counsel to represent the organization’s interests in employment litigation matters including wage and hour class action cases.
    • Oversees and manages outside law firms that provide labor, employment, human resources, immigration, compensation, benefits and ERISA services to the organization, including managing the budget for these services and serving as the lead in-house strategist and liaison between the firms and organization leadership.
    • Partners with the Vice President of Human Resources to annually review Human Resources Department policies, procedures and the Employee Handbook, advising on recommended and/or necessary changes to mitigate/eliminate risk to the organization and insure compliance with developments in related federal and California laws.
    • Remains current on federal and California labor, employment and human resources laws and advises relevant client leaders on changes that may impact the organization and their departments.
    • Upon request, reviews/drafts documents related to employee separations/terminations.
    • Provides advice and counsel to organization leaders and Human Resources Department leaders on employment-related actions from informal counseling to formal counseling, performance improvement plans, suspensions and terminations.
    • Works closely with the Chief Compliance Officer and Compliance Manager on Compliance Hotline matters that they receive that are labor, employment or human resources-related.
    • Leads or advises Human Resources Department leaders who conduct investigations of allegations of discrimination, harassment, and related potential violations of federal and/or California laws.
    • Provides labor, employment and human resources advice and counsel to organization leaders over Eisenhower Medical Associates, P.C. and Eisenhower Medical Center’s Graduate Medical Education Program.
    • Drafts contractual agreements, and legal memoranda as needed.
    • Obtains approvals for execution of contracts.
    • Reviews, monitors, interprets and implements contracts in support of management.
    • Maintains and administers an electronic contractual approval process.
    • Maintains contract files for the organization.
    • Provides direct supervision to the Contract Manager in the Office of Legal Affairs.
    • Interprets policies and implements practices related to contract approval, monitoring and implementation.
    • Becomes expert in healthcare contracting.
    • With assistance and direction from the General Counsel, advises management of applicable policies.
    • Researches legal questions and issues as necessary and/or as directed.
    • Provides advice to management of issues within the expertise of the position including labor, employment, human resources, immigration, compensation/benefits and ERISA as well as healthcare contract issues.
    • Develops strong and trusted working relationships with key Directors and ELT Members in the organization.
    • Demonstrates compliance with Code of Conduct and compliance policies, and takes action to resolve compliance questions or concerns and report suspected violations.
