  • Job Objective: A brief overview of the position.
    • The Legal Counsel is responsible for contractual relationships of the organization including materials management purchasing and service agreements, information technology agreements, research clinical trial agreements, affiliation agreements and various physician agreements including medical directorships, call coverage arrangements, and graduate medical education residency and faculty contracts. In addition, at the direction of the General Counsel, this position shall conduct legal research, provide legal analysis and may provide legal direction on issues impacting the organization. The Legal Counsel will be familiar with operational legal issues that might arise including medical consent (e.g., treatment, research and end-of-life), licensure, and clinical research. The position will also be responsible for reviewing policies, forms and other operational documents as needed to assess risk and insure compliance with relevant laws. The Legal Counsel will serve as the legal representative to various committees including the Institutional Review Board, the Forms Committee, materials management committees and other committees as assigned by the General Counsel.

      • BA Degree
      • JD Degree
    • Licensure/Certification
      • Must be a member of the State Bar of California, or approved by the State Bar of California to provide legal services as a Registered In-House Counsel (and become licensed within one year of hire).
    • Experience
      • Two to five years experience with health care law including some experience in a corporate law department or law firm. At least two years experience negotiating and drafting health care related contracts.
  • Essential Responsibilities
    • Demonstrates compliance with Code of Conduct and compliance policies, and takes action to resolve compliance questions or concerns and report suspected violations.
    • Drafts contractual agreements, and drafts legal memorandums as needed.
    • Obtains approvals for execution of contracts.
    • Monitors, interprets and implements contracts in support of management.
    • Maintains and administers an electronic contractual approval process.
    • Maintains contract files.
    • Interprets policies and implements practices related to contract approval, monitoring and implementation.
    • With assistance and direction from the General Counsel, advises management of applicable policies.
    • Becomes expert in healthcare contracting and patient consent laws.
    • Research legal questions and issues as necessary and/or as directed.
    • Provides advice to management of issues within the expertise of the position including contract issues, consent, or other operational legal issues.
    • Oversee and complete routine corporate filings for EMC and affiliated corporations.
